A little research suggests that this file format is a type of metafile for media used primarily for cell phones. Sony/Ericsson has an amr to wav converter that you can download from here:http://miksoft.evzonastravel.com/mobileAMRconverter.htm
I haven't tried it. There may be other converteres out therer as well.
But you could use this converter to transfer the amr file to wav and then use dMC (dBpowerAMP Music Converter) to convert the files from wav to mp3. dMC does not have the ability to read or write files in amr format at this time.

AMR is a specialized speech codec used in the 3GPP standard, so it uses the *.3gp (AMR-NarrowBand) or *.3g2 (AMR-WideBand) container formats combined with either MPEG-4 or H.263 video tracks. AAC is another possible audio format in these containers if you want a higher quality for music content. So *.3gp and *.mp4 are often mistaken as being identical which is not true.

As far as I know, there are open source AMR decoders for both variants available from the 3GPP web site, at least the open source GPAC project uses them in their Osmo4 player and/or MP4Box file multiplexer. GX::Transcoder is another freeware app (not open source) that enables AMR decoding/transcoding besides QuickTime 6.5 Pro.
